Terms of Use
Website terms only — paid assessments, builds, and run services are governed by a separate proposal, SOW, or MSA.
1. Agreement
These Terms of Use (“Terms”) govern access to and use of https://www.tonic-ai.com.au/ and related Tonic AI web pages (the “Site”), operated by Tonic The Agency Pty Ltd (ABN 57 139 147 934) trading as Tonic AI (“Tonic”, “we”, “us”).
By using the Site you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. Who the Site is for
The Site is aimed at business customers (B2B) considering operational AI automation services. You represent that you are using the Site in a business capacity and have authority to act for your organisation where you submit forms on its behalf.
3. What the Site provides
The Site provides information about our services, including:
- Automation Opportunity Assessments and related offers
- Solution and case-study descriptions (including anonymised engagement examples)
- Resources, contact, and booking forms
- A free AI Automation Maturity Quiz (informational only)
Nothing on the Site is a binding offer to supply services at a fixed price until we issue a written proposal or engagement letter that you accept. Published ranges (for example Assessment · 1–2 weeks · $3k–$7k) are indicative and depend on scope.
4. Assessments, quizzes, and bookings
4.1 Paid Automation Opportunity Assessment
Submitting an assessment request is an enquiry. We may qualify fit, confirm scope, and agree fees before work starts. Deliverables, timeline, fees, and IP for an assessment are set out in the engagement documents — not solely on the Site.
4.2 Maturity quiz
The free quiz provides generalised maturity scoring and suggested next steps. It is not a professional audit, ROI guarantee, or substitute for a paid assessment. Results may be stored as described in the Privacy Policy so we can improve the tool and follow up if you ask us to.
4.3 Calendar / discovery calls
Booking a call is subject to availability and does not create a services contract.
5. Accuracy of Site content (Australian Consumer Law)
We aim to keep Site content accurate and current. Marketing descriptions, anonymised case examples, dashboard visuals, and metrics are illustrative of the kinds of work we do unless clearly stated as a verified result of a named engagement.
You acknowledge that:
- Outcome percentages and timelines vary by systems, data quality, and client effort
- Integration marks (HubSpot, Salesforce, Zendesk, Xero, Slack, etc.) describe compatibility themes; they are not claims of partnership or endorsement unless we say so expressly
- “Live” or monitoring-style visuals on the Site may be demonstrations unless labelled as current client telemetry
Nothing in these Terms excludes rights you cannot contract out of under the Australian Consumer Law (ACL). For business customers, our liability for failure to comply with a consumer guarantee (where applicable) may be limited to resupply of services or payment of the cost of resupply, to the extent permitted by law.
6. Your responsibilities
You agree to:
- Provide accurate information in forms
- Not submit unlawful, defamatory, or infringing content
- Not attempt to probe, scrape at abusive volume, reverse engineer, or disrupt the Site
- Not use the Site to send spam or malware
- Keep any login credentials (if issued) confidential
We may suspend or block access if we reasonably believe you breach these Terms or create security / legal risk.
7. Intellectual property
Unless otherwise stated, the Site (design, text, graphics, logos, video, code, and compilation) is owned by Tonic or its licensors and protected by copyright and other IP laws.
You may view and print reasonable extracts for internal business evaluation of our services. You must not copy, adapt, republish, or commercially exploit Site content without our prior written consent, except as allowed by law (including fair dealing).
Third-party marks: Product names and logos of third parties are trademarks of their owners. Use on the Site is for identification of compatible or commonly integrated systems only.
Your submissions: Feedback or non-confidential ideas you send via the Site may be used by us to improve services without obligation to you. Do not submit confidential client data via public forms; use the channels we specify after engagement.
8. Privacy
Personal information collected via the Site is handled under our Privacy Policy at /privacy. By using forms you consent to that handling for the purposes described there.
9. Third-party links and embeds
The Site may embed calendars or link to third-party sites. Those services are outside our control. We are not responsible for their content, availability, or privacy practices.
10. Disclaimers
To the maximum extent permitted by law:
- The Site is provided on an “as is” and “as available” basis
- We do not warrant uninterrupted or error-free access
- General Site content is not legal, financial, or technical advice for your specific environment
Client automation systems are delivered under separate contracts with their own warranties and SLAs.
11. Liability
To the maximum extent permitted by law, Tonic is not liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from Site use.
Our aggregate liability arising from Site use (other than liability that cannot be limited) is limited to AUD $100 or the amount you paid us specifically for Site access in the prior 12 months (usually nil).
This does not limit liability under a separate signed services agreement.
12. Indemnity
You indemnify Tonic against claims, losses, and costs arising from your misuse of the Site or your breach of these Terms, except to the extent caused by our negligence or wrongful act.
13. Changes
We may update these Terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance of material changes that we are allowed to make that way. For material adverse changes affecting registered users we will take reasonable steps to notify where practicable.
14. Termination
You may stop using the Site at any time. We may withdraw or change the Site without notice. Provisions that by nature should survive (IP, liability, indemnity, governing law) continue after termination.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia. Courts of NSW (and the Commonwealth of Australia) have non-exclusive jurisdiction. If you access the Site from outside Australia, you are responsible for compliance with local laws.
